**Terms of Service for Watask**

Before accessing or using any of the services offered by “Watask”, we urge you to carefully read and understand both these Terms of Service and our Privacy Policy. These are managed and offered by Bebke.

This document outlines the terms and conditions that dictate the use and access of services provided by “Watask”. Should you have any queries or require clarifications, feel free to reach out to us at gev@automator.co.il.

**Acknowledgment of Terms**
  1. The platform, “Watask”, is managed and maintained by Bebke
    (also referred to as “us” or “we” throughout this document). It can be accessed via https://watask.com .
  2. By consenting to these Terms of Service, as a patron of Bebke
    (referred to as “you” or “user”), you accept and agree to uphold all responsibilities and privileges contained herein.
  3. For access to “Watask”, it’s essential to first acknowledge these terms. Before leveraging our services, we recommend going through these terms and any other details shared by Bebke. Your consent can be given by selecting the option to agree to these terms, presented in the user interface during your initial interaction with our service.
**General Terms and Explanations**

For the purposes of these Terms of Service, unless stated otherwise:

 

  1. “Subscriber” refers to an individual or legal entity that avails the Services. This encompasses legal entities, managers, or third-party agents representing the subscriber, provided they possess authorization from the subscriber. A single subscriber may sign up on behalf of multiple users.
  2. “End-User”, “you” signifies an individual accessing the Services and consenting to these Terms of Service. A Subscriber can also assume the position of an End-User.
  3. “Terms of Service” encompasses this current agreement inclusive of its periodic updates and modifications.
  4. “Working day” identifies any weekday, excluding bank or public holidays in Israel.
  5. “Individual data” encompasses any personal data as described in Article 4(1) of the GDPR 2016/679 by the European Parliament and Council dated 27 April 2016, focusing on the protection of individuals in terms of processing personal data and its free movement. This repeals Directive 95/46/EC and incorporates data we or our affiliated entities process in line with these Terms of Service.
  6. “Data Security Regulations” represent all applicable national laws concerning the processing of Individual Data.
  7. “Uncontrollable Circumstances” indicate an incident or related sequence of events that is beyond the impacted party’s practical control. This includes, but isn’t restricted to, internet failures, public telecommunication network disruptions, cyber-attacks, denial of service incursions, malicious software or virus attacks, power outages, third-party industrial disagreements, legislative alterations, natural disasters, explosions, fires, civil disruptions, acts of terror, and wars.
  8. “Application”, “Watask” represents the comprehensive system comprised of:
    – The Watask app featured on Pipedrive; 
    – Necessary Watask browser extensions for functionality. These extensions              supplement features to WhatsApp Web, Telegram Web, or similar platforms;
    – The Watask official website.
  9. “Services” defines any services connected to the Watask app that Bebke offers or is bound by commitment to offer as depicted on the official website and upon mutual agreement.
**To Whom Do These Terms Apply?**
  1. The intent of these Terms of Service is to outline the general terms and conditions under which you are granted access to and the privilege to use the services related to the Watask app provided by Bebke. These Terms of Service also establish a legally binding agreement between Bebke and you. These terms serve as the exhaustive and sole declaration of the conditions between you and Bebke concerning the matter at hand. No other terms and conditions will be incorporated into this agreement unless explicitly referenced in these Terms of Service or mutually agreed upon in writing between the two parties.
  2. You are prohibited from consenting to these Terms of Service if you are below the legal age as per your nation’s governing laws to enter into a binding contract with Bebke.
  3. Within the scope of these Terms of Service, the phrases “including” or “includes” should be understood as “including, but not confined to” or “encompasses, without any restrictions.” Additionally, terms stated in the singular form are inclusive of their plural counterparts and vice versa.
**Sign-up and Contract Creation**
  1. To utilize the Watask app offered by Bebke, you initially need to download the app via Pipedrive’s marketplace. Following this, you must acknowledge the terms of service. The app’s trial version will then become accessible for a period of 7 days. If you wish to persist using it post the trial period, it is imperative to select one of the subscription options available.
  2. Establishing a contract under an alias, or with false or inaccurate details, is strictly prohibited. In the event of alterations to your personal details, it is mandatory to promptly update all relevant information and notify Bebke.
  3. During the sign-up procedure, you’ll be prompted to click on “I concur with the Terms of Service.” As previously highlighted, ensure you thoroughly peruse the Terms of Service prior to clicking on “I concur with the Terms of Service” or a similar affirmation. By endorsing “I concur with the Terms of Service” or a synonymous phrase, you expressively accept to adhere to the terms, inclusive of all legal obligations incumbent on you. Should you disagree with these conditions or opt against being bound by the Terms of Service, refrain from endorsing “I concur with the Terms of Service” or an equivalent phrase. You recognize and consent, among other stipulations, that these Terms of Service govern every conceivable utility and service rendered to you by Bebke.
  4. Bebke is not obligated to sanction your participation in this agreement. We reserve the right to decline your request, without mandating the provision of any rationale. In such circumstances, rest assured that any details or data you’ve already shared will be duly erased, in alignment with prevailing laws.
  5. Upon endorsing these Terms of Service, you authorize the application of electronic means for finalizing contracts, soliciting services offered by Bebke, and for the conveyance of notifications and transactional records related to these Terms of Service. Furthermore, in tandem with the applicable regulations, you willingly forgo any rights or requirements stipulated by other laws or norms that mandate a manual (non-digital) signature, or the dissemination or storage of non-digital records.
  6. It’s advised that you retain a digital copy of these Terms of Service, either by downloading, printing, or any other method you deem appropriate.
  7. The core objective of this Agreement is to delineate the reciprocal commitments concerning the use of Watask.
  8. Bebke remains committed to consistently enhancing its products. Therefore, occasional alterations to technical specifications may be executed for the same reason. Thus, you acknowledge that Watask’s functionality might undergo periodic variations. Technical prerequisites for using Watask and detailed feature descriptions are accessible on our website.
**Involvement of Third-Party Providers**
  1. You explicitly acknowledge and grant permission for Bebke to utilize third-party providers in delivering the Watask Services to you.
  2. Bebke assures that any third-party entity involved in the provision of the Services will only undertake these tasks upon explicit written directives from Bebke.
  3. Furthermore, Bebke guarantees that all engaged third-party providers will be chosen with utmost diligence, and are bound to adhere to these Terms of Service and the relevant prevailing legislation.
  4. Details pertaining to the third-party entities that Bebke involves for its Services can be found in the Privacy Policy. Occasionally, Bebke may enlist the expertise of freelance professionals. Should you require additional details about the freelancer(s) engaged by Bebke, such information will be made available upon your request.
  5. Should you harbor reservations concerning this collaboration, we encourage you to relay them to us. In the absence of any expressed concerns within 7 days from the induction, alteration, or introduction of a third-party provider, you are considered to have accepted the said involvement. If reservations are voiced within this timeframe, Bebke will engage in a dialogue addressing your legitimate concerns and endeavor to arrive at a mutually satisfactory resolution in good faith.
  6. Bebke’s responsibilities as defined within these Terms of Service, pertaining to its users, are similarly applicable to our third-party providers.
**Data Security**
  1. Bebke’s Privacy Policy is integral to these Terms of Use and outlines the contractual terms to safeguard and secure the data transferred from you and other users to Bebke for processing.
  2. Bebke has implemented the necessary technical and organizational security measures to prevent potential accidental or unlawful destruction, loss, or impairment of this data. These measures also ensure that the data doesn’t land in the hands of unauthorized individuals or gets misused, or treated contrary to Bebke’s Privacy Policy.
  3. Bebke is committed to maintaining confidentiality regarding any information received from you and will not share such information with third parties. The only exceptions to this are when such disclosures are in line with our third-party provider guidelines or when mandated by a court or regulatory authority, and then only to the extent required.
**Right of Withdrawal for Customers and Users**

In accordance with these Terms of Use, you possess the right to inform Bebke in written format (such as a letter, fax, or email) of your decision to withdraw from this Agreement. This withdrawal can be executed within fourteen (14) days from the date of acceptance, without any need for compensation, penalties, or the requirement to provide any reason for the withdrawal. All notifications should be directed to gev@automator.co.il .

**Indemnification**

You agree to indemnify and hold Bebke harmless from and against all claims, liabilities, and costs (including attorney’s fees and other costs incurred for defense) including claims for damages arising from:

  1. Infringement of the rights of other users or third parties, including government agencies due to the content you posted on Watask, or stemming from your use of Watask;
  2. Your violation of these Terms of Use or any law, regulation, or directives, regardless of whether they are mentioned in these Terms of Use;
  3. Your unauthorized or abusive use of Watask or any segment of it;
  4. Any additional rights and remedies, including damage claims that Bebke may have, remain unaffected.
**Exclusions, warranty, and liability limitation**
  1. Bebke undertakes to perform its obligations under these Terms of Use with all due skills and care. You acknowledge that Bebke’s obligations in this regard are contracted on the basis of “commercially reasonable efforts”. Furthermore, in no event shall Bebke be liable for inaccessibility, unavailability, interruption, or bad quality of the services provided by the latter or any part thereof for any reasons beyond our control, including but not limited to cases where services of another operator or access or service supplier are used, in which case Bebke in no event shall be liable for any act or omission of that third party.
  2. In no event shall Bebke be liable for any failure in its performance under these Terms of Use due to a force majeure event.
  3. No advice or information, whether oral or written, obtained by you from Bebke or any of its collaborators shall create any warranty that is not expressly stated in these Terms of Use.
  4. Except in the case of willful misconduct or intentional breach, or in the event of personal injury caused by a defect in the services provided by Bebke, in no event shall Bebke be liable for any indirect loss or damage whatsoever including but not limited to lost profits that you may incur as a result of use or reliance upon any content, loss of intangible goods, or for damages that are not foreseeable (including as to their extent), arising out of the use and/or impossibility to access Watask and or unauthorized access to it by a third party and/or any other cause related to Watask.
  5. You agree and acknowledge that you are in a better position than us to foresee and evaluate any potential damage or loss that you may suffer in connection with the Services of Bebke and that accordingly the exclusions and limitations contained in this clause are reasonable. You undertake at all times to mitigate any such damage or loss.
**WhatsApp Usage and Associated Risks**
  1. **Adherence to WhatsApp Policies**: Users are reminded that while using Watask in conjunction with WhatsApp, they must adhere strictly to WhatsApp’s terms of service and policies. Bebke does not guarantee the continuous and uninterrupted functionality of Watask if users breach WhatsApp’s terms.
  2. **No Affiliation**: Watask, a product by Bebke, is an independently operated service and is neither endorsed nor affiliated with WhatsApp or its parent company, Meta. Any interactions or disputes concerning WhatsApp services are to be addressed directly with WhatsApp or Meta.
  3. **Automated Actions**: Watask offers a range of features designed to optimize user experience. However, excessive or rapid automated actions through Watask might trigger WhatsApp’s protective algorithms, leading to potential account restrictions or suspensions. Bebke is not responsible for any consequences that arise from such actions.
  4. **Data Privacy**: Using Watask might involve sharing or processing personal and sensitive messages from users’ WhatsApp accounts. While Bebke prioritizes data security, users are advised to exercise discretion and caution. Sharing content that violates personal or third-party privacy rights might expose users to legal and ethical risks.
  5. **User Accountability**: Any suspensions, restrictions, or terminations of a user’s WhatsApp account resulting from activities executed through Watask are the sole responsibility of the user. Bebke holds no liability for actions taken by WhatsApp (or Meta) against the user.
  6. **Communication**: For any concerns, feedback, or issues related to Watask and its interaction with WhatsApp, users can reach out to Bebke through our official website, [https://watask.com](https://watask.com), or by sending an email to [gev@automator.co.il](mailto:gev@automator.co.il).
  7. **Governing Law**: Any disputes or claims related to this section and the user’s use of Watask in connection with WhatsApp will be governed by the laws of Israel, without giving effect to any conflict of laws principles.

By using Watask and integrating it with WhatsApp, users acknowledge and accept the aforementioned terms and potential risks.

**Pricing and payment terms**
  1. The prices for the use of Watask Services are based on the pricing set out at the date when you acquired the services, made available on the website. Payment must be made in full for the continued performance of the Services.
  2. You agree to pay the applicable fees and any applicable tax or fee that may accrue in relation to the Services you acquire. Your payment may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates). It falls under your responsibility to bear any additional costs as a result of this.
  3. Bebke may change Watask’s prices at any time without any prior notice to any of its users. The new prices will only apply in case your subscription had ended prior to the moment when you re-subscribe. In case your subscription is active at the time when we change the price, the amount you initially paid for your subscription will still be applicable.
  4. If you are in default with any payment obligations (immediately after the first non-payment), we are entitled to deny access to Watask and/or terminate our agreement with you without notice.
  5. The invoices for each payment will be sent to you by e-mail to confirm your purchase of our service. Additionally, invoices can also be downloaded autonomously as explained on the website.
  6. We reserve the right to assert further claims for default of payment.
  7. Payments can only be done via credit card. Payments are handled by Chargebee and executed by BlueSnap.
**Duration and termination of your contract**
  1. The duration of your contract with Bebke is determined by the payment option you selected for Watask, whether it be monthly or yearly.
  2. Contracts set for a definite period of time will remain in force until the end of the specified period. They will renew automatically for the same duration unless terminated by either you or Bebke before the end of the current period.
  3. Should you decide to terminate an active subscription, you will retain access to Watask services until the end of the currently active term, whether it be monthly or yearly.
  4. Bebke reserves the right, with suitable prior notice, to terminate these Terms of Use and your contract with immediate effect. This termination notice will be delivered via e-mail to the address you provided during the agreement process, which is [gev@automator.co.il](mailto:gev@automator.co.il).
  5. Refunds will be processed in the same method you used for the initial payment, unless both parties agree on a different method.
  6. Bebke may terminate the agreement under the following circumstances:
  7. If you materially breach any provision of the Terms of Use or act in a way that clearly shows non-compliance or an inability to comply with the Terms of Use. If such a breach is rectifiable, Bebke will notify you and expect rectification within fourteen days.
  8. If mandated by law.
  9. If either party becomes insolvent; enters into any agreement or arrangement with creditors (except for genuine company reorganizations); cannot pay its debts; or if a court-ordered seizure of assets (or a significant portion thereof) occurs.
**Complaints and possible downtime/bugs**
  1. Bebke will offer technical support to all Watask clients to a necessary degree.
  2. In scenarios where Bebke cannot replicate an incident and there’s been no recurrence of the incident for a period of one month from the reported occurrence, the incident will be labeled as “No fault found,” and Bebke will not undertake further action.
  3. Complaints from users should be submitted in writing or by e-mail to Bebke within 14 days at [gev@automator.co.il](mailto:gev@automator.co.il). Bebke will then conduct a thorough investigation of the raised issues. If investigating requires access to saved or archived data, transcription files, or other digital data, you grant Bebke unrestricted access to these data sources to facilitate the complaint investigation.
  4. Bebke will employ reasonable efforts to complete the investigation in a timely manner after the complaint has been submitted. If the dispute is upheld, both Bebke and you will collaborate to determine the most appropriate course of action.
  5. Bebke is not liable for additional claims or compensations stemming from failures in services that were not part of the initially agreed-upon terms during negotiations. Bebke does not guarantee or imply that the operation of Watask will be uninterrupted or error-free, regardless of the service package you’ve chosen.
  6. Should you subscribe to Watask and find it unavailable due to technical reasons for a total of 120 hours within a 30-day period, and this downtime is acknowledged by Bebke, we will compensate you with a proportionate amount of your subscription fee.
**License**
  1. Subject to your compliance with these Terms of Use, a user is granted a limited, non-exclusive, non-sublicensable, non-assignable license to use Watask through your individual user account for the duration of your user agreement. Access to Watask is for your individual use. You shall not assign, transfer, sub-license, resell, or commercialize access to or the use of Watask to any third party.
  2. You acknowledge that each Watask license offered by Bebke will run from the date of the purchase of a subscription in accordance with the duration of the subscription. It is the obligation of the client to ensure that the use of a Service is in accordance with these Terms of Use.
  3. The number of licenses available is determined by the subscriptions acquired by a customer. One customer may purchase more than one multi-seats subscription. Therefore, a license is restricted to the number of users applicable to a given subscription. The license is granted only for the sole purpose of using the Services under this Agreement and for the Client’s own lawful internal purposes. Unless otherwise mentioned in writing, the license cannot be transferred or (sub-)licensed to any other third party, in whole or in part, without the prior written approval of Bebke.
  4. Except for the rights of use and other rights specifically granted herein, no other rights are granted to you, either express or implied, and no obligation shall be implied requiring the grant of further rights. You hereby expressly acknowledge that the use of a Service provided by Bebke does not involve or imply a transfer of any Intellectual Property Rights to the former.
  5. Permission is granted to temporarily download one copy of the materials (information or software) on Watask’s website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:
    – Modify or copy the materials;
    – Use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    – Attempt to decompile or reverse engineer Watask or any of its parts;
    – Remove any copyright or other proprietary notations from the materials; or
    – Transfer the materials to another person or “mirror” the materials on any other server.
  6. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Bebke at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.
**Security**
  1. Bebke implements appropriate technical and operational measures to safeguard the security and safety of its services and to protect your data which Bebke processes on your behalf and in accordance with the Processing Agreement and our Privacy Policy against accidental or unlawful destruction or accidental loss, modification, unauthorized disclosure, and access.

In addition, Bebke represents and warrants that:

– All of its services will be performed using sound, professional procedures and in a proficient and professional manner;

– Its networks, software, databases, routers, or operating systems and computer system are compliant with and are adequately set up in accordance with pertinent industry standards and that it is knowledgeable as to such pertinent industry standards;

– It utilizes commercially reasonable security policies to protect the information of its clients. Such policies and procedures shall include, but not limited to, utilizing best efforts to protect its computer systems and databases from unauthorized access or tampering. In addition, Bebke or its collaborators will immediately notify you of any known or suspected security breach. We will work with you to immediately correct any security deficiency;

In light of the above, it is not to be understood that you are discharged of your own responsibility to safeguard your activity gear, software, telecommunications, and Internet connections against viruses, computer crime, illegal use by third parties, or other unauthorized use. You are responsible for any activity using your account, whether you authorized that activity or not.

**Severability**

If any provision of these Terms of Use or the application thereof to any party or circumstance should to any extent be declared invalid, illegal, or unenforceable in any jurisdiction, that provision shall be severed from these Terms of Use as to such jurisdiction (but, to the extent permitted by law, not elsewhere), and shall not affect the remaining provisions hereof. The parties agree to substitute for such provision a valid provision that most closely approximates the intent and economic effect of such severed provision.

**No waiver**

The failure or delay of Bebke to exercise any right or action under these Terms of Use shall not be construed as a renunciation of this right or action nor shall this in any way affect the validity of the whole or any part of these Terms of Use, nor prejudice our rights to take subsequent actions thereof.

**Assignment**

Bebke shall have the right at its discretion to assign these Terms of Use or any part of its rights and/or obligations hereunder. You are not entitled to assign any of your rights or obligations under these Terms of Use.

**Applicable law**

These Terms of Use will exclusively be governed by Estonian law without giving effect to its conflict of laws provisions or those of your actual state or country of residence. Discarding the rules available under Regulation EU No 1215/2012 of the European Parliament and of the Council of 12 December 2012 on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters (recast), also known as Brussels I Regulation Recast (which provides special jurisdiction rules) and other similar applicable laws to the fullest extent possible, the Estonian courts will be exclusively competent.

**Language**

Unless expressly agreed otherwise, the language of these Terms of Use is English in all commercial transactions with Bebke.

**Changes**

Bebke reserves the right to modify these Terms of Use at any time, subject to a notice to you by electronic mail or within the Watask interface, which will inform you of the URL through which you can access the modified version. The modified version will enter into force thirty (30) days after the date of the above-mentioned notice unless you have accepted it before by a positive and affirmative reaction. In this case, it will enter into force from that moment onwards. If you do not wish to accept the modified Terms of Use, you have the right to terminate these Terms of Use by sending us an email to the following address: gev@automator.co.il, with effect from the date on which the modified Terms of Use would have entered into force. Without prejudice to the above, you agree that Bebke will not be bound by previous versions of the Terms of Use that have been removed from the Website. The latest version of the Terms of Use will always be available on the website.
